CAANN Bylaws



Article I

The name of this organization shall be the Chicago Area Association of Neonatal Nurses.


Article II


The Mission of the ASSOCIATION shall be to act as the neonatal educational resource for health care professionals and the community that they serve while promoting the highest standards of neonatal nursing practice.


Article III

Section I.  The goals of the ASSOCIATION shall be to:

1.      Facilitate an exchange of information among the neonatal community.

2.     Make available to its members a forum for continuing education.

3.     To establish a communication network among nurses working in the neonatal field.


Section II.  The duties of the officers are as follows:

1.      The president shall preside at any official meeting of the ASSOCIATION and coordinate the work of the officers and committees to ensure that the objectives and policies of the ASSOCIATION are maintained and promoted.

2.     In the absence of a President-Elect, an officer or a board member shall preside at meetings in the absence of the President and coordinate the educational activities of the ASSOCIATION

3.     The Secretary shall record the minutes of business meetings, conduct official correspondence of the ASSOCIATION, and be responsible for keeping bylaws.

4.     The Treasurer shall collect and disburse ASSOCIATION funds.  The Treasurer will work with the Membership committee in maintaining membership records, and will present a statement of financial condition at each board meeting.

5.     In the absence of the President and a President-Elect, an officer or a board member will serve as a member of the finance committee.


Section III.  Executive Committee meetings shall be held at least twice a year.  Meeting time and place shall be arranged by the President.


Section IV.  In the event of a resignation or vacancy of an office, the President may appoint a qualified member to assume responsibilities of the office in an acting capacity for the remainder of the calendar year.


Section V.  The President will not participate in the annual election of officers so that in the event of a tie, the President’s vote can determine the majority. 


Section VI.  The closing date for officer nominations shall be at the business meeting held yearly in late fall.


Article IV. 


Section I.  The regular meeting of the ASSOCIATION shall be held at least two times yearly.


Section II. A quorum shall consist of all active members present at the meeting.


Section III.  Each member present shall be entitled to one vote on matters properly placed before the membership. 


Article V. 


Section I.  Membership in the ASSOCIATION is a privilege and is contingent upon concurrent membership in the National Association of Neonatal Nurses.

Section II.  The membership of this ASSOCIATION shall not be limited by numbers.

Section III.  A person shall be declared a member upon payment of local and national dues.

Section IV.  Dues shall be determined by a majority vote of board members.  Dues may not exceed national dues.



Article VI.


Section I.  The officers of the ASSOCIATION shall consist of a President, President-Elect, Secretary and Treasurer.  Collectively these officers are referred to as the Executive Board

Section II.  An officer candidate must be a CAANN member for no less than 12 months prior to running for office.

Section III.  The officers shall be elected by a two thirds majority of all members present at a business meeting if there is more than one nominee for a position.

1.  The President-Elect will succeed the current President for a term of two years. 

2.  A new President Elect will be elected for a term of two years

3.  The Secretary and Treasurer will be elected for a term of two years. 

4.  If there is more than one candidate for an office, an election for Secretary and President-Elect will occur on even numbered years (years ending in 0, 2, 4, 6, and 8)

5.  If there is more than one candidate for office, an election for Treasurer will occur on odd-numbered years (years ending in 1, 3, 5, 7, and 9).

6.  All officers shall take office January 1st immediately following their election.


Article VII

Amendments to the Bylaws

Section I.  The bylaws shall be reviewed annually by the executive board.

Sections II.  The bylaws may be amended at any regular business meeting of the ASSOCIATION by a favorable vote of two thirds of the membership present.


Article VIII

Rules and Parliamentary Authority

The rules contained in the most current edition of Robert’s Rules of Order shall be the parliamentary authority.
